Section 1. Payments & Fees

Full payment or an agreed-upon deposit is required before any work begins on a project. Accepted payment methods include PayPal, Zelle, Venmo, and Cash App, and clients are solely responsible for any applicable transaction fees. Payments that are incomplete, reversed, or held by the processing platform may result in the project being immediately paused or canceled. Payments overdue by more than eight (8) business days may result in late fees, project cancellation, or a permanent refusal of future services.

Section 2. Refunds & Chargebacks

Once a project has been completed, delivered, and approved by the client, all sales are considered final. Refunds may only be considered under strict conditions, such as a request being made before any work has officially begun, a confirmed misunderstanding occurring during the early planning phase, or cases where no drafts, previews, or deliverables have been provided. Approved refunds may be partial to account for time spent on communication, planning, research, or preliminary work, and all requests must be submitted in writing within four (4) days of the issue arising. Chargebacks or disputes initiated without first contacting Matthew may result in the immediate revocation of all usage rights, the copyright reverting fully to Matthew, refusal of future services, and the submission of relevant project documentation to the payment provider

Section 3. Revisions & Approvals

Projects include up to three (3) rounds of revisions unless otherwise agreed upon in writing, and any additional revisions will be billed separately. Revision pricing varies based on workload and complexity and may be negotiated before the extra work begins. Client approval of concepts, layouts, or drafts constitutes formal acceptance of that creative direction. In cases of dissatisfaction after approval or during final production phases, a partial refund of up to 40% may be issued solely at Matthew’s discretion.

Section 4. Project Timeline

Estimated timelines are provided at the start of each project and depend heavily on project complexity and prompt client responsiveness. Delays in communication or asset delivery from the client may extend the project timelines or result in the outright cancellation of the project. Rush requests require a separate written agreement and may incur additional rush fees.

Section 5. Client Responsibilities

Clients agree to provide accurate information, assets, and feedback in a timely manner and must confirm ownership or proper licensing of all materials provided to Matthew. Furthermore, clients are responsible for reviewing and approving all deliverables promptly. Matthew is not responsible for any project delays or issues caused by incomplete, late, or incorrect client-provided materials.

Section 6. Communication

Preferred communication methods include Discord or email, and clients are expected to respond to project inquiries within two to four (2–4) business days. Extended inactivity or lack of communication from the client may result in the project being paused or permanently terminated.

Section 7. Termination

Either party may terminate the agreement at any time by providing written notice to the other party. Upon termination, any completed and in-progress work will be invoiced or deducted from payments already made, and no refunds will be issued for completed or partially completed work. Matthew reserves the right to decline or cancel services immediately if a client becomes unprofessional, non-compliant, violates these terms, or engages in suspicious or fraudulent activity.

Section 8. Delivery & File Retention

Final deliverables will be provided in the agreed formats (such as PNG, JPG, SVG, EPS, PSD, AI, or PDF) via email, Discord, or secure cloud storage. Clients are entirely responsible for downloading and securely storing their final files, as Matthew does not guarantee indefinite file storage or recovery services. Editable source files are not included in the standard package unless requested in advance and may require an additional fee.

Section 9. Portfolio Use & Promotion

Unless otherwise agreed upon in writing, Matthew reserves the right to display all completed work in portfolios, social media, advertisements, and design communities. Client names, logos, and testimonials may be used for promotional purposes unless confidentiality is explicitly requested by the client prior to the start of the project.

Section 10. Copyright, Licensing & Ownership

Matthew retains full copyright ownership of all work until full payment has been received and final approval has been provided by the client. Upon completion and full payment, full ownership and copyright of the final chosen design are transferred to the client. Redistribution, resale, or unauthorized modification of in-progress work or rejected concepts is prohibited. Unused concepts or rejected drafts remain the property of Matthew and may be reused.

Section 11. Artificial Intelligence (AI) Policy & Originality

Matthew may utilize Artificial Intelligence (AI) tools solely during the initial brainstorming, research, or concept-generation phases of a project. All final deliverables, including logos and brand assets, are manually drawn, vectorized, and custom-built from scratch in professional design software (such as Adobe Illustrator) to ensure full human authorship. Matthew warrants that the final delivered work is an original creation and does not consist of raw, unmodified AI-generated outputs.

Section 12. Long-Term Clients & Partnerships

Repeat or long-term clients may qualify for partnership pricing, including discounts of up to 40% on future projects. Partnership discounts are discretionary, non-transferable, and may be modified or revoked at any time.

Section 13. Confidentiality & NDAs

All projects are treated as non-confidential unless a written NDA or confidentiality agreement is established prior to project start.

Section 14. Age Requirements

Clients must be at least 16 years of age to request services. Clients 18 years or older are recommended for legally binding agreements. Clients under 18 may require parental or guardian consent depending on applicable laws.

Section 15. Limitation of Liability

Matthew is not liable for any indirect, incidental, or consequential damages arising from the use of delivered work. Total liability shall not exceed the total amount paid for the project.

Section 16. Force Majeure

Matthew is not responsible for delays or failure to perform due to events beyond reasonable control, including but not limited to technical failures, illness, or external service disruptions.

Section 17. Agreement & Negotiation

If a client does not agree with any section of these Terms & Conditions, they must identify the specific section(s) in writing prior to the start of the project. Reasonable modifications may be made at Matthew’s discretion.

Section 18. Governing Law

These Terms & Conditions are governed by the applicable laws of the United States and the designer’s operating jurisdiction.

Section 19. Photography Services

Photography services include on-location shooting, basic direction, composition, and professional image capture. Each photography session includes both on-site shooting time and post-production editing as part of a single bundled service.

Travel & Location
Photography sessions include reasonable local travel within the agreed service area. Travel time and transportation costs are included in the session price. Locations outside of a reasonable distance may require an additional travel fee, agreed upon prior to booking. Don't hesitate to contact me for travel limits!

Deliverables & Editing
Each session includes a set number of professionally edited final images as specified in the agreed package. Editing includes color correction, exposure adjustment, and light retouching to produce a polished final result. RAW files are not included unless agreed upon in writing.

Client Responsibilities
The client is responsible for providing accurate location details, being present at the scheduled time, and ensuring the shoot environment is accessible and appropriate. Delays caused by client unavailability or late arrival may reduce shooting time or require rescheduling.

Revisions & Adjustments
Minor adjustments to delivered images (such as color or exposure tweaks) may be requested within a reasonable revision limit. Major re-edits, reshoots, or style changes outside the agreed scope may incur additional charges.

Cancellation & Rescheduling
Cancellations or rescheduling requests must be made within a reasonable timeframe before the scheduled shoot. Last-minute cancellations may result in a partial or full session fee charge depending on preparation and travel time already completed.

Section 20. Agreement & Signature (U.S. Contract Standards)

These Terms & Conditions constitute a legally binding agreement under applicable United States law. The client agrees to provide their first and last legal name for identification and contract purposes. This agreement may be accepted by physical or electronic signature, written confirmation via email or message, or by submitting payment. Electronic acceptance and signatures are legally binding under the U.S. E-SIGN Act.
